These Terms of Use (the “Terms”) are a legal contract between you, an individual user or a single entity (“you”), and International Digital Centre, Inc. and any entities that control, are controlled by, or are under common control with International Digital Centre, Inc. (“IDC,” “we,” or “us”). Both you and IDC are referred to individually as a “Party” or collectively as “the Parties.” These Terms, together with the Privacy Policy and Cookie Notice, govern your use of the Site (the “Site”).

BEFORE USING THE SITE, PLEASE READ THESE TERMS CAREFULLY. BY USING THE  SITE, YOU AGREE TO THESE TERMS. IF AT ANY TIME YOU DO NOT AGREE TO THESE TERMS, PLEASE DO NOT USE THE SITE.

You must be at least 18 years of age to use this Site. By using this Site, you warrant that you are at least 18 years of age and you may legally be bound by these Terms.

IDC may change these Terms at any time without notice to you by updating this page. By continuing to use the Site after changes are posted, you agree to the changes.

1. Site Access.

This Site is owned and operated by IDC. You may access the Site for your own personal use. You are expressly prohibited from:

• distributing, modifying, selling, sublicensing, performing, displaying, reposting, or using the content of the Site for public or commercial purposes without IDC’s prior written permission in each case;

• using the Site in any way that is, or may be damaging to, the Site;

• using the Site in any way that impacts user access to the Site;

• using the Site in any way that causes, or may cause, harm to any person or entity;

• using the Site in any way that is contrary to applicable laws and regulations;

• engaging in any data mining, data harvesting, data extracting or any other similar activity with regard to the Site; and/or

• using the Site to engage in any advertising or marketing of goods or services.

When using the Site, you must retain all copyright and other proprietary notices included in the Site’s content.  

2. Members-Only Area of the Site.

To access certain content on the Site (“Members-Only Area”), you may be asked to register with us and provide personal information. You are responsible for ensuring the accuracy of this information, and you must maintain the safety and security of your identifying information. While IDC takes reasonable measures to maintain the security of the Site, you understand and agree that you have no expectation of confidentiality in any information you send to IDC through the Site.

You are also responsible for all activities that occur under your account or password. If you think there are any possible issues regarding the security of your account on the Site, you must inform us immediately so we may address them accordingly. We reserve all rights to terminate accounts, and edit or remove content, at our sole discretion.

IDC may restrict access to the Members-Only Area and any other areas of this Site, at any time, in its sole and absolute discretion. Any user ID and password you may have for this Site are confidential and you must maintain confidentiality of such information.

3. Ownership of Information.

“User-Provided Data” includes any information you send to IDC using the Site, such as questions and comments sent to IDC through a Contact Us page or similar feature. Except for personally identifiable data, which is covered by IDC’s Privacy Policy, IDC will treat User-Provided Data as non-confidential and non-proprietary, and it will become the property of IDC. IDC is free to use any ideas, concepts, know-how, or techniques contained in any User-Provided Data.

4. Trademarks and Copyrights.

All trademarks, service marks, trade names, logos, and icons (“Marks”) on the Site are proprietary to IDC or the applicable third party. Nothing contained on the Site should be construed as granting any license or right to use any Marks displayed on the Site without the written permission of IDC or the applicable third party. Your use of the Marks displayed on the Site, or any other content on the Site, except as provided herein, is strictly prohibited.

5. Third Party Content.

The Site may contain links to other websites which are not maintained by IDC (“Third Party Sites”). IDC is not responsible for the content of any Third Party Sites. Links from the Site to Third Party Sites do not imply IDC's approval or endorsement of Third Party Sites or their content. IDC cannot guarantee that the links on the Site will be accurate.

6. Disclaimer.

To the fullest extent permitted by applicable law, the Site is provided as-is and without warranties of any kind, express or implied. IDC disclaims all warranties, express or implied, including, but not limited to, implied warranties of merchantability and fitness for a particular purpose, non-infringement, security or accurateness. IDC does not warrant that the functions of the Site and the materials contained herein will be uninterrupted or error-free, that defects will be corrected, or that the Site or the networks used to operate it are free of viruses or other harmful components. Nothing on the Site shall be construed as providing advice or recommendations to you.

IDC does not warrant or make any representations regarding the use (or the results of the use) of the materials on the Site in terms of their correctness, accuracy, reliability, or otherwise. You (and not IDC) assume the entire cost of all necessary servicing, repair, or correction of any device you use to access the Site.

Unless otherwise expressly set forth herein, IDC makes no representation that materials on the Site are appropriate or available for use in any location. Those who choose to access the Site do so by their own initiative and are responsible for compliance with local laws. Except as expressly set forth herein, the information contained on the Site is not an offer to sell or a solicitation to buy any product or service offered by IDC.

If you are an IDC customer, you may be subject to other agreements with IDC. These Terms of Use apply to use of the Site and do not change or alter any other contract or agreement between you and IDC.

7. Indemnification.

You hereby indemnify IDC, to the fullest extent allowed by applicable law, from and against any and all liabilities, costs, demands, causes of action, damages and expenses (including reasonable attorney’s fees) arising out of or in any way related to your use of the Site or your breach of any of these Terms.

8. Limitation of Liability.

While IDC uses reasonable efforts to include accurate and up-to-date information on the Site, errors or omissions sometimes occur. To the fullest extent permitted by applicable law, IDC makes no warranties or representations as to the accuracy of the content of the Site. Under no circumstances, including but not limited to negligence, shall IDC or any party involved in creating, producing, or delivering the Site be liable to you for any direct, incidental, consequential, indirect, or punitive damages that result from the use of, or the inability to use,  the Site, even if IDC has been advised of the possibility of such damages. In no event shall IDC’s total liability to you for all damages, losses, and causes of action exceed the amount paid by you, if any, to IDC for accessing the Site. IDC also assumes no responsibility, and shall not be liable for, any damages to, or viruses that may infect, your computer equipment or other property as a result of your access to, use of, or browsing in the Site or your downloading of any materials, data, text, images, video, or audio from the Site.

You (and not IDC) will be responsible for any liability arising out of your access to, or use of, the Site or its contents in a manner other than as expressly authorized by these Terms of Use or your violation of applicable laws or any rights of any third party.

9. Governing Law.

These Terms are to be construed in accordance with and governed by the internal laws of the State of New York (as permitted by Section 5-1401 of the New York General Obligations Law or any similar successor provision), without giving effect to any choice of law rule that would cause the application of the laws of any jurisdiction other than the internal laws of the State of New York to the rights and duties of the parties. You submit to the non-exclusive jurisdiction of the state and federal courts located in New York for the resolution of any disputes.

10. Enforceability.

If any portion of these Terms is found to be unenforceable, the remaining sections of the Terms will remain in effect.

11. DMCA Compliance Information.

If you believe your copyright-protected work was posted on this Site without authorization, you may submit a copyright infringement notification. Only the copyright owner or their authorized agent can send these notifications. Do not make false claims; misuse of this process may have legal consequences.

12. Assignment.

IDC is allowed to assign, transfer, and subcontract its rights and/or obligations under these Terms without any notification or consent required. However, you may not assign, transfer, or subcontract any of your rights and/or obligations under these Terms.
